Telephone call by L. Pinkney to Mr. Smidth and told him of problems with getting Mr. Caine together with Mr. Robertie. Mr. Smidth said that he would meet with Mr. Walters and work out something with Messrs. Caine and Robertie.

Telephone call by L. Pinkney to Frank Walters. Mr. Walters said that January 30 or 31, 1975 would be acceptable for a meeting. This would be verified after Mr. Caine talked with Mr. Robertie. Meeting was set up for February 3, 1975.

February 3, 1975

Staff, met with PEPCO along with Messrs E. Caine and J. Robertie to discuss legal difficulty in contract. Discussion involved:

1. Examination of Records clause.

2. All 480 volts service to be classed as secondary voltage.

3. All other Metrorail service to be 13.8kV on WMATA contiguous
property.

4. Cost of Service Study to be completed by May 15, 1975 by PEPCO. February 14, 1975

Meeting with Mr. Caine and WMATA staff scheduled for February 21, 1975 cancelled after Mr. Robertie talked with Mr. Caine concerning WMATA's auditing of PEPCO's subcontractors. WMATA and PEPCO are to come up with suggested wording for this portion.

WMATA received GSA's Area Wide Public Utility Contract with PEPCO and adopted its "examination of records" clause. Meeting scheduled with PEPCO week of March 3-7, 1975.

Reached an agreement to

WMATA staff met with PEPCO on "'examination of record" clause. Both sides presented proposals. WMATA was to review PEPCO's proposal with AUDIT. It was agreed that all other areas of the contract were resolved. Meeting was scheduled for March 28, 1975.

March 28, 1975

WMATA staff met with PEPCO and worked out differences on "examination of records" clause. PEPCO was to re-type Agreement and forward it to WMATA. Mr. Walters said that he would have a submittal on the Cost of Service Study on May 1, 1975.

May 30, 1975

Telephone call by L. Pinkney to F. Walters to find out status of Agreement. Mr. Walters said they were having a disagreement in-house on the "'examination of record" clause. They will be meeting on June 3, 1975 and will resolve it at that time.

June 3, 1975

WMATA staff met to determine a course of action since PEPCO had not sent Agreement back. It was decided to:

1.

Send a letter to PEPCO signed by General Manager asking for completion of Agreement or a favorable rate if agreement is not reached on an interim basis.

2. Mr. Clifford Trott, WMATA Consultant who participated in the negotiations, will prepare a detailed Cost of Service Study for submittal to WMATA by August 1, 1975.

June 6, 1975

Telephone call by Lucius Pinkney to Frank Walters to find out status of Agreement. Mr. Walters said that their legal people still had the Agreement and would be releasing it soon.

June 9, 1975

Telephone call by Lucius Pinkney to Frank Walters to find out status of Agreement. Mr. Walters said that their legal had resolved the dispute and WMATA would get it as soon as it was re-typed.

Received from PEPCO "Computer Print-out on Class of Business Cost Allocation for Year ended December 30, 1974" which will be used in our Cost of Service Study.

June 20, 1975

Four members of the negotiating team (L. Pinkney, C. Trott, F. Filiatreau, R. Ganeriwal) met with S. M. Thomassen to discuss changes proposed by PEPCO. Each party was to review proposed changes with their respective leaders for acceptance of the changes as tentatively proposed during this meeting.

June 24, 1975

Proposed changes were reviewed and deemed acceptable by WMATA staff. July 2, 1975
