DR. HINMAN MOVED that only the resolutions of the joint meeting of the Board of Trustees of the Research Institute and the Board of Trustees of the National Dental Association and the members of the Research Commission be published in our records.

Dr. King seconded the motion. Carried.

DR. HINMAN OFFERED the following resolution:

"That the Educational Council be directed to submit to the Board of Trustees before the close of this session, and annually thereafter, a detailed report of their expenditures."

Dr. Ward seconded the same.

Carried.

This is to certify that we have examined the cash book of the above named association on pages 41 to 73, both inclusive, which pages contain the cash entries of the above named association, as submitted to us, made and entered therein between the dates of July 1, 1916, and October 10, 1917, and find as follows, to-wit:

That the total cash receipts from all sources equals the total remittances to the treasurer of said association, both amounting to $61,854.39.

That the total amount of orders issued against the Treasurer of said association amounts to $53,669.68.

OUR EXPENSES.

The publication of The Journal on a monthly basis has added greatly to our expenses. I wish to call particular attention to some of these items of expense, such as salaries, labor purchasing of new machinery, general office expenses, which includes postage, stationery, typewriters, dictaphones, desks, new multigraph machine, new addressograph machine, filing cabinets, etc., etc. Besides these added expenses, the Secretary's railroad and hotel expenses have been greater this year than in all the three previous years, having traveled a total of 38,456 miles.

It may also be of interest to the Board of Trustees to know that the Secretary has mailed out of his office 408,000 pieces of mail.

Notwithstanding these increases of expenses the disorganization of state

societies due to the fact that all state societies had to change their constitu. tions in order to meet the increase of National dues to $2.00-and the unsettled condition due to the war situation, we have been able to not only maintain our present membership but to increase it to nearly 2,000 over 1916. We have also been able to establish The Journal on a thoro financial foundation, leaving a nice surplus in the treasury. · SECRETARY RETIRES FROM AC

TIVE PRACTICE.

On account of the tremendous amount of labor involved in the publishing of a monthly journal, together with our secretary' work, made it imperative for me to retire from active practice, on January 1, 1917. This decision was made after having tried and failed to secure a competent assistant as proof reader to assume some of my responsibilities in connection with the general work of preparing the copy for publication as well as assisting in proof reading, therefore I found it necessary to discharge my second proof reader appropriating her salary to my own salary which at least in a small way helped to compensate me for my loss from the income from my practice.

RESERVE FUND.

I would like to suggest in order to place our National Association on a better financial basis so that we may have sufficient funds on hands at all times to tide us over a lean year that The Journal fund be used as a reserve fund and to this amount which we now have in this fund 10% of all money received in the Secretary's office (except such funds as Relief Fund) be turned into this reserve fund. The dental profession in too many instances, in its organization work, have failed to show the keen business ability or insight that they should. Therefore, it seems to me to be imperative for the trustees of our National Dental Association to establish a Reserve Fund which

will give at all times to our National work a spirit of solidarity which will result in increased confidence from our membership in the success of all of our plans. No organization will ever grow and develop as it should by business policy of "living from hand to mouth." Therefore, our National Dental Association must have a strong financial backing to establish our Journal and carry out other big undertakings. The Trustees should bear in mind that we are also financially liable for the failure of a local committee to pay its bills. To meet such emergency is another argument why we should have such a Reserve Fund.

That part of the Secretary's report which has been referred to in his report to the House of Delegates, The Journal report as well as suggested in the Trustees' report to the House of Delegates has not been repeated in this report.

DR. HARTZELL MOVED that the salary of the proofreader who was discharged be transferred to Dr. King to compensate him for the extra labor in reading proof in addition to his regular salary. This motion was seconded by Williams and carried.

The fifth session of the Board of Trustees was held in Conservatory, Hotel Astor, New York City, and was called to order by President at 9:30 A. M., Wednesday, Oct. 23, 1917.

Present: Drs. Logan, Burkhart, Hinman, White, Boardman, Barber, King, Williams, Hartzell, Ward and Grieves.

The minutes of the previous meeting were read and approved.

IT WAS MOVED that a committee of five be appointed to act in conjunction with a like committee from the Preparedness League, as provided in the Resolution passed by the House of Delegates in 1916. Motion seconded and carried. The Committee appointed consists of

Thomas P. Hinman, Atlanta, Georgia; L. L. Barber, Toledo, Ohio; William H. G. Logan, Chicago; Otto U. King, Huntington Indiana, and Harvey J. Burkhart, of Rochester, New York.

MOVED and seconded that a Committee be appointed consisting of Drs. Barber, Logan and Hartzell, to confer with a Committee from the Academy of Oral Prophylaxis and Periodontology, for the purpose of considering their relation to the National Association. Carried.

The bills as itemized in expenditure orders from number 248 to 21 of new series were read and allowed. The Secretary to draw warrants on Treasurer for these orders.

MOVED and seconded that the salary of the Treasurer be fixed at $200. Carried.

MOVED and seconded that Dr. Arthur R. Melendy, of Knoxville, Tenn., be nominated to the House of Delegates as the Treasurer. Carried.

MOVED and seconded that the Board of Trustees request a complete copy of all transactions of the joint sessions with the Research Commission members, trustees of the Research Institute, and trustees of the National Dental Association. Carried.

MOVED and seconded that hereafter the official stenographer of the National Dental Association shall take minutes of all joint sessions with the Research Commission, the trustees of the Research Institute, and the Trustees of the National Dental Association. Carried.

Nomination of standing committees: Judicial Council: C. R. Lawrence, Enid, Oklahoma; A. R. Cook, Syracuse, New York; A. L. Midgley, Providence, Rhode Island; Herman A. Maves, Minneapolis, Minnesota; and Charles M. Barnwell, Jr., Atlanta, Georgia.

Dental Education: F. T. Breene, Iowa City, Iowa. ('22).

Dental Legislation: L. L. Barber, Toledo, Ohio. ('22).

Transportation: D. C. Bacon, Chicago, Illinois; Burton L. Thorpe, St. Louis, Missouri; John J. Welker, Toledo, Ohio; Roscoe A. Day, Oakland, California; Joss D. Eby, Atlanta, Georgia.

Board of Trustees appointed the following members on the Research Commission, to serve for five years: Louis Meisburger, Buffalo, New York; Otto U. King, Huntington, Indiana; Truman W. Brophy, Chicago, Illinois; Homer C. Brown, Columbus, Ohio; Donald M. Gallie, Chicago, Illinois.

The G. V. Black Memorial Committee was continued.

MOVED and seconded that the Board

of Trustees recommend to the House of Delegates that the National Dental Association contribute to the Black Memorial Fund $500. Carried.

MOVED and seconded that the National Relief Committee be continued. Carried.

MOVED and seconded that The Journal Committee be continued. Carried.

MOVED and seconded that the Law Committee be discontinued. Carried.

MOVED and seconded that our representatives on the Educational Council of America be continued. Carried.

MOVED and seconded that the Committee on Eastman and Forsyth Tablet be given six months to complete its work and submit its final report to the Board of Trustees. Carried.

MOVED and seonded that the incoming President be authorized to appoint the clinic and local arrangements committees. Carried.

MOVED and seconded that the Ways and Means Committee be continued. Carried.

MOVED and seconded that the Secretary be instructed to cover the property of the National Dental Association with sufficient fire insurance and also sufficient liability insurance on the employes. Carried.

MOVED and seconded that Dr. Howard E. Haverstick be thanked for his suggestion of a new insignia, but that the Board of Trustees do not deem it advisable to adopt at this time a new one. Carried.

MOVED and seconded that a committee composed of Drs. Grieves, Williams and White be appointed to prepare suitable resolutions favorable to universal military training and present same to the House of Delegates for action. Carried.
